Ella Terms Supplement

This Ella Terms Supplement applies to your use of the Ella app experience and forms part of the Umbrella Journal Terms & Conditions. If there is a conflict between this supplement and the general Terms, this supplement governs for Ella-specific features.

1. Scope

This supplement covers Ella chat features, onboarding prompts, memory-aware support, and related insights. Your use of Ella is also subject to the general Terms & Conditions, Privacy Policy, and Medical Disclaimer.

2. What Ella is (and is not)

Ella is a self-help and reflection tool. Ella does not provide medical advice, diagnosis, psychotherapy, crisis counseling, or emergency monitoring. No clinician-patient or therapist-client relationship is created by using Ella.

3. AI-generated content limitations

Ella responses may be incomplete, inaccurate, or not appropriate for your specific situation. You are responsible for your decisions and should use independent judgment before acting on any output.

Output may reflect patterns, heuristics, probabilistic inferences, or incomplete context. Ella may produce content that is mistaken, stale, inconsistent, offensive, or unsuitable for your needs. Similar or overlapping output may also be generated for other users.

Ella is provided for wellness support, reflection, and educational use. It is not a licensed professional, does not exercise clinical judgment, and does not guarantee any particular outcome.

4. High-risk and excluded uses

You must not rely on Ella as a substitute for licensed medical, psychiatric, therapeutic, legal, financial, employment, housing, insurance, academic, or other professional advice. You must incorporate human review before acting on output in any context that could materially affect health, safety, legal rights, finances, education, housing, employment, or other significant outcomes.

Ella must not be used for emergency response, crisis intervention, active suicide prevention monitoring, abuse reporting intake, child safety case management, law-enforcement decision-making, or any purpose requiring guaranteed accuracy, continuous monitoring, or human professional oversight.

5. User content and chat data

You are responsible for content you submit in Ella chats and represent that you have rights to submit it. You must not upload unlawful content or content that violates the rights of others.

We may process Ella content to provide the service, improve quality and safety, enforce policies, and comply with law, consistent with our Ella Privacy Supplement and Privacy Policy.

You retain any rights you have in the content you submit, subject to the licenses and permissions described in the general Umbrella Journal Terms. You are responsible for ensuring that your submissions do not infringe intellectual property, privacy, confidentiality, or other rights of any third party.

6. Acceptable use

• No misuse, abuse, harassment, threats, or unlawful conduct in Ella.
• No attempts to reverse engineer, scrape at scale, or bypass Ella safety controls.
• No use of Ella output to create competing AI products or for prohibited high-risk uses.
• No impersonation, fraud, spam, credential theft, malware, prompt injection attacks, or attempts to extract hidden system instructions, internal policies, or private data.
• No use of Ella to facilitate self-harm, violence, abuse, exploitation, hate, harassment, stalking, or unlawful activity.
• No submission of another person's confidential or personal information unless you are authorized to provide it.

7. Safety systems and crisis boundaries

If you may harm yourself or others, or are in immediate danger, contact local emergency services now. In the U.S. and Canada, call or text 988 for suicide and crisis support and call 911 for emergencies.

Ella is not monitored as an emergency line. Do not wait for an app response in urgent situations.

We may use automated and human-assisted safety systems to detect misuse, policy violations, fraud, or elevated risk patterns. We may warn, restrict, suspend, or terminate access where reasonably necessary to protect users, third parties, the service, or legal compliance.

8. Billing and app stores

If Ella subscriptions are offered through Apple App Store or Google Play, billing and cancellation are handled by those stores under their policies. Umbrella Journal cannot cancel app-store subscriptions for you.

Free trials, promotions, auto-renewal, renewal timing, pricing changes, taxes, and refund availability are governed by the applicable app store or payment provider, together with the general Umbrella Journal Terms.

9. Availability, beta features, and changes

Ella features may change, be paused, or be discontinued, including beta or experimental functions. We may update this supplement as Ella evolves.

We do not guarantee that any specific model, tone, workflow, memory feature, topic flow, premium feature, or experimental capability will remain available, unchanged, or error-free. Beta and experimental features may be incomplete and may be withdrawn without notice.

10. Disclaimers and no warranties

To the fullest extent permitted by law, Ella is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or that outputs will be safe, complete, or suitable for your situation.

You use Ella at your own risk. You are solely responsible for reviewing outputs and deciding whether and how to act on them.

11. Limitation of liability

To the fullest extent permitted by law, Umbrella Journal and its affiliates, service providers, licensors, and personnel will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising from or related to Ella, including damages based on reliance on outputs, service interruptions, data loss, inaccurate content, or feature changes.

Any liability that cannot legally be excluded will be limited to the maximum extent permitted by applicable law and remains subject to the liability framework in the general Umbrella Journal Terms & Conditions.
